Cayman is the default domicile for institutional funds for reasons that have little to do with tax and everything to do with predictability: a recognised regulatory regime, deep service-provider capacity, and allocator familiarity that shortens due diligence. But forming a Cayman fund well is a sequence of decisions, spanning vehicle, registration, compliance calendar, manager entity and jurisdiction, taken in the right order and to a standard allocators will later test. This pillar draws together CV5 Capital's guidance on each of those decisions, for managers launching a hedge fund or digital asset fund from anywhere in the world.
"Formation is not the hard part of a fund launch; getting formation right so that nothing has to be unwound later is. The managers who struggle are the ones who chose a vehicle before they understood their investors, or who treated compliance as something to bolt on after registration rather than design in from the start."Evan Judd, Director at CV5 Capital
The case for the jurisdiction is well established: it is a principal hedge fund jurisdiction, it is structurally built to attract institutional capital as an offshore domicile, and it continues to lead for digital assets, as we argue in why Cayman still wins for institutional digital asset funds in 2026. The full picture for a traditional strategy is set out in our complete guide to setting up a Cayman hedge fund in 2026.
The vehicle should follow the strategy and the investor base, not habit. The segregated portfolio company is increasingly the emerging-manager default for its speed and cost, while master-feeder structures serve mixed US-taxable and offshore investor bases, though, as we argue, emerging managers often do not need a master-feeder. Closed-ended and private-equity-style strategies may use the Cayman ELP with a GP and LPs, and global managers running master funds should weigh the investor-market considerations for Cayman master funds.
Registration turns on the fund's classification. Our guide to the full CIMA regulatory breakdown for hedge funds and explainers on the Mutual Funds Act, the regime under which CV5 SPC and CV5 Digital SPC operate, set out the framework, alongside SIBA and CIMA themselves. Marketing is governed too: the private placement rules for Cayman funds and the treatment of US accredited investors and qualified purchasers shape how a fund is offered.
A Cayman fund is a set of continuing obligations, not a one-off filing. Onboarding runs on the AML, KYB and KYA requirements at launch and ongoing AML and KYC investor onboarding. The year is structured by the annual compliance calendar, including the fund governance and operational requirements, the operational detail of FATCA and CRS compliance, the newer CARF and CRS 2.0 crypto reporting, and economic substance for fund managers. Add the beneficial ownership regime, the first-year audit and filings, the Fund Annual Return, readiness for a CIMA regulatory examination, and eventually winding down a CIMA-regulated fund.
The fund is only half the structure. Most launches also need a properly built management company. Our guidance on why every offshore launch needs a properly structured investment manager and setting up an offshore management company alongside the fund explains why. Cayman also mandates specific roles: the compliance officer and the resident principal point of contact.
Cayman is usually the answer, but the comparison should be made deliberately: Cayman versus BVI, Cayman versus Luxembourg, and the Singapore VCC versus the Cayman SPC for Asian managers. The launch path also depends on where the manager sits. We have written specific guidance for UK managers (including the FCA NPPR route), Singapore, Hong Kong, Japan, South Korea, India, Southeast Asia, the Gulf and DIFC/ADGM capital, Swiss family offices, Brazil, Mexico, and family offices generally.
CV5 Insight: Most formation cost overruns are sequencing failures. Fix strategy, investors and vehicle before drafting begins, and the documents are drafted once; redesign the structure mid-drafting and the same work is paid for twice. The comparison that matters is not offshore versus onshore, but platform versus standalone launch.
CV5 Capital is a Cayman Islands-based, CIMA-registered fund platform. Through CV5 SPC and CV5 Digital SPC, a manager forms a fund as a segregated portfolio on a structure that already exists, with directors, constitutive documents, compliance roles and a service-provider network already in place, rather than building each element from zero. CV5 does not make investment decisions for third-party strategies and is not a law firm, administrator, auditor or investment adviser. Managers retain their strategy, branding and investment discretion; the platform provides the regulated formation and compliance infrastructure around it.
The right vehicle, registration category, marketing basis and manager structure are fact-specific and depend on the strategy, the investor base and the manager's home regulation; each is assessed for the proposed Fund before launch. Compliance obligations and CIMA fees change, and this pillar reflects the position as at July 2026. A platform launch is faster and more predictable for many managers, but it is not the right answer for every strategy.
CV5 Capital helps managers form and operate Cayman hedge funds and digital asset funds through CV5 SPC and CV5 Digital SPC, with vehicle selection, CIMA registration, compliance and manager structuring coordinated on one platform.

Speak With CV5 CapitalIncreasingly a segregated portfolio of an SPC, chosen for speed, cost and governance rather than habit, though the right answer depends on the strategy and investor base. The trade-offs are set out in our SPC guide and in why emerging managers often do not need a master-feeder.

Formation is the foundation of the launch. From here, managers commonly move to launching and operating a Cayman hedge fund, launching a digital asset fund, and fund governance and ODD readiness.

Traditional Fund Terms Questionnaire ↗Digital Asset Fund Terms Questionnaire ↗Each fund launched on the platform is a Sub-Fund: a segregated portfolio within CV5 SPC or CV5 Digital SPC. Switch between the two platforms, then view the legal structure, who is responsible for what, or how a subscription moves through a Sub-Fund. Select any box for its role.
Legal structure. CV5 SPC and CV5 Digital SPC are Cayman Islands segregated portfolio companies registered with CIMA. Each Sub-Fund is a segregated portfolio with its own mandate, terms and investment manager, and its assets and liabilities are segregated by statute from those of every other Sub-Fund.
Responsibilities. The board, which includes independent directors, oversees the company and each Sub-Fund. The investment manager appointed to each Sub-Fund makes its investment decisions. CV5 Capital provides platform and company management and makes no investment decisions. The administrator, auditor, bank and custodians are independent service providers.
Subscriptions. Investors subscribe for shares of a specific Sub-Fund. On CV5 Digital SPC, a Sub-Fund may accept subscriptions in fiat currency to its bank account, in designated currencies such as USD, EUR, CHF, JPY, GBP and AED, or in stablecoins such as USDC and USDT to its wallet, as its offering documents provide.
