Fund Governance and Board Oversight

Every fund launched on the CV5 platform is a segregated portfolio of CV5 SPC or CV5 Digital SPC, both registered with the Cayman Islands Monetary Authority. Each is overseen by a board that includes professional independent directors, supported by a dedicated governance team and operated alongside independent administrators, auditors, banks and custodians.

Independent of the investment decision

CV5 Capital does not invest in any fund on its platform and does not act as investment manager to any fund. Each fund's investment manager is a separate firm, appointed under its own investment management agreement, and retains full discretion over strategy, portfolio construction, trading and risk.

CV5 Capital's role is the regulated infrastructure: the segregated portfolio company, the board, the compliance programme and the oversight of service providers. Because CV5 Capital takes no position in any portfolio and makes no investment decisions, it stands independent of the investment managers and the portfolios it oversees. That separation is what an investor's operational due diligence is designed to confirm.

Experience at board and leadership level

The professionals who lead and govern the platform bring more than a century of combined experience across investment banking, securities law, asset management, fund governance and cyber risk, gained at global banks and asset managers, including two decades in Asia.

Directors who have the time to do the job

Each director acts on only a select number of boards. Capacity is one of the first questions an allocator's due diligence team asks, and for good reason: a director with too many appointments cannot read every board pack, challenge a service provider or respond quickly when something goes wrong. Limiting appointments keeps oversight active rather than nominal.

Why this matters to investors

Why this matters to an emerging manager

A new manager rarely has the network, budget or time to assemble a board of this depth for a first fund. On the CV5 platform, the manager inherits it from day one.

In operational due diligence, governance is where many emerging managers lose an allocation. A board without independence, without relevant experience or without the capacity to engage reads as a risk, whatever the quality of the strategy. A fund presented with an experienced and independent board, a maintained compliance programme and an established governance record answers those questions before they are asked, and moves the conversation on to the strategy and the team.

What the board oversees

The board does not make investment decisions. Those remain with the appointed investment manager.

Board support

The governance team, led by Bianca Valencia, runs the board calendar, prepares board packs, records minutes and follows up action points, so that directors can concentrate on review and challenge.

Platform structure

How the platform is structured

Each fund launched on the platform is a Sub-Fund: a segregated portfolio within CV5 SPC or CV5 Digital SPC. Switch between the two platforms, then view the legal structure, who is responsible for what, or how a subscription moves through a Sub-Fund. Select any box for its role.

Legal structure. CV5 SPC and CV5 Digital SPC are Cayman Islands segregated portfolio companies registered with CIMA. Each Sub-Fund is a segregated portfolio with its own mandate, terms and investment manager, and its assets and liabilities are segregated by statute from those of every other Sub-Fund.

Responsibilities. The board, which includes independent directors, oversees the company and each Sub-Fund. The investment manager appointed to each Sub-Fund makes its investment decisions. CV5 Capital provides platform and company management and makes no investment decisions. The administrator, auditor, bank and custodians are independent service providers.

Subscriptions. Investors subscribe for shares of a specific Sub-Fund. On CV5 Digital SPC, a Sub-Fund may accept subscriptions in fiat currency to its bank account, in designated currencies such as USD, EUR, CHF, JPY, GBP and AED, or in stablecoins such as USDC and USDT to its wallet, as its offering documents provide.
