Moving an Existing Hedge Fund Onto a Cayman Fund Platform
A standalone fund that launched with conviction and has stayed sub-scale carries the full fixed cost of a board, an AML programme, an audit and a regulatory calendar on a small asset base. Some managers in that position, and some running funds in other jurisdictions, are looking at moving the strategy onto a Cayman platform. It can be done, but not by merger or redomiciliation into the platform. It is a new segregated portfolio, a transfer of assets and investors, and an orderly close of the old fund.
"Managers usually ask how to move the fund. The better question is how to move the investors and the positions with the least disruption, because the old vehicle does not come with them."David Lloyd, Chief Executive Officer at CV5 Capital
Who Considers the Move
| Starting point | Typical reason |
|---|---|
| Sub-scale standalone Cayman fund | Fixed costs absorbing a disproportionate share of management fee revenue. |
| Fund in another offshore jurisdiction | Allocator preference for a Cayman vehicle, or service provider consolidation. |
| Onshore vehicle or managed accounts | Need for a pooled offshore vehicle for non-domestic investors. |
| Proprietary or friends-and-family capital | Institutionalising before raising external capital; see from prop trading desk to Cayman fund. |
For crypto vehicles specifically, see how to move a crypto fund to the Cayman Islands, which covers continuation and in-kind transfer for digital asset positions.
The Cost Logic
For traditional strategies, the AUM range at which standalone and platform costs typically converge sits between $80m and $150m. A fund well below that range is paying for infrastructure at a scale it has not reached. Moving does not remove costs; it replaces several fixed lines with a platform fee and portfolio-level costs. Before choosing where to move, see how to choose a Cayman fund platform. See the true cost of running a Cayman fund and how much AUM a hedge fund needs.
What Is and Is Not Available
| Route | Position |
|---|---|
| Statutory merger of the existing fund into the platform | Not available. Section 239A of the Companies Act (2025 Revision) provides that no constituent company in a Cayman statutory merger or consolidation may be a segregated portfolio company. |
| Continuation of a foreign fund into Cayman | Available to bring a foreign company to Cayman, but section 201 registers it as an exempted company in its own right. It becomes a standalone Cayman fund, not a segregated portfolio of a platform. |
| New segregated portfolio plus transfer | The practical route. A new portfolio is established on the platform, the existing fund's assets and investors move into it, and the old fund is closed. |
How the Transfer Works
In-kind
The existing fund transfers its positions to the new segregated portfolio in exchange for portfolio shares, then distributes those shares to its investors by way of an in-kind redemption. Alternatively, investors are redeemed in kind and contribute the assets to the portfolio directly. Either depends on the existing fund's articles and offering documents permitting in-kind redemptions.
Cash
The existing fund liquidates and investors redeem in cash, then subscribe to the new portfolio. This is simpler and costlier, crystallising trading costs and leaving investors out of the market in the gap.
Listed securities and cash generally move cleanly. Derivatives and financing arrangements are contracts with the existing fund and usually need to be novated or closed and reopened by the platform company acting for the new portfolio.
Issues to Settle First
| Issue | What to check |
|---|---|
| Existing fund documents | Power to redeem in kind, investor notice periods, gates, lock-ups and any consent or vote needed. |
| Terms in the new portfolio | Whether liquidity, fees and share classes will mirror the existing fund, and how side letters will be treated. |
| Valuation at transfer | Final NAV under the existing fund's valuation policy, approved by its board and confirmed by its administrator, and accepted under the platform's policy. |
| High-water marks and performance fees | Whether fees crystallise, and how each investor's high-water mark carries across, documented in both sets of terms. |
| Investor tax | Whether the redemption is a disposal for investors in their home jurisdiction; tell them early. |
| Investor onboarding | The platform administrator performs its own AML and KYC on each investor. Existing files help but do not transfer automatically. |
| Counterparties | Accounts opened for the new portfolio with prime brokers, banks, exchanges and custodians before the transfer date. |
A Typical Sequence
- Platform onboarding and portfolio set-up. On the CV5 platform a new segregated portfolio typically launches in three to four weeks, with a filing made to register it with CIMA. Counterparty account opening runs alongside.
- Investor communication. Reasons for the move, new terms, tax considerations, onboarding requirements and the timetable.
- Investor onboarding through the platform administrator.
- Transfer at the dealing date. Final NAV of the existing fund, transfer of assets, issue of portfolio shares.
- Close the existing fund. Settle residual liabilities, complete the final audit, wind up and deregister.
Closing the Old Fund With CIMA
For a CIMA-regulated fund, CIMA's published cancellation procedure asks for the application, made through its REEFS portal, by the earlier of 21 days after the fund ceases to carry on business and 31 December of that year. A fund that misses year end risks the next year's annual fees. A fund placed under termination remains liable for half the annual fee, while a fund in liquidation incurs no further annual fees but remains liable for fees and penalties already incurred. For a voluntary liquidation, CIMA asks for the liquidation forms stamped by the Registrar alongside the core documents.
The date of the transfer should therefore be set with the cancellation timetable in view. For the wind-down itself, see winding down a CIMA-regulated hedge fund and closing a fund without leaving liabilities behind.
CV5 Insight: Set the transfer date backwards from 31 December. A move completed in early December with a late cancellation filing can still cost a year of fees on the old fund.
Track Record
The vehicle changes; the manager, team and process do not. Continuity is supported by the existing fund's audited financial statements and administrator NAV history, and both periods should be presented consistently. See building and presenting an institutional track record.
How the CV5 Platform Supports a Move
CV5 SPC and CV5 Digital SPC provide the board, the AML/CFT/CPF compliance programme, the valuation policy framework and the operating documentation for each segregated portfolio. A manager moving onto the platform keeps investment discretion, strategy, brand and the investor relationship. Investors subscribe into the new segregated portfolio, not into CV5 Capital.
Conclusion
Moving an existing fund onto a platform is a launch, a transfer and a wind-down run in sequence. The legal route is narrower than many managers expect, but it is well understood. The managers who do it well start with the existing fund's documents, communicate early with investors and time the move around CIMA's year-end.

Hedge Fund QuestionnaireDigital Asset Fund QuestionnaireFrequently Asked Questions
Can an existing Cayman fund merge into a platform SPC?
No. Section 239A of the Companies Act (2025 Revision) prevents a segregated portfolio company from being a constituent company in a statutory merger or consolidation. The move is made by transferring assets and investors to a new segregated portfolio.
Can a BVI or other offshore fund redomicile onto a Cayman platform?
Continuation can bring a foreign company to Cayman, but it registers that company as an exempted company in its own right, not as a segregated portfolio. Joining a platform still requires a transfer of assets and investors.
How long does the move take?
On the CV5 platform, a new segregated portfolio typically launches in three to four weeks. The overall timetable also depends on investor notice periods, investor onboarding and counterparty account opening.
What happens to the old fund?
It settles residual liabilities, completes a final audit, and is wound up and deregistered. CIMA asks for the cancellation application by the earlier of 21 days after the fund ceases business and 31 December of that year.
Will investors need to complete new subscription documents?
Yes. The platform administrator must complete its own AML and KYC, and investors subscribe on the new portfolio's terms, although existing documentation can shorten the process.
